ARTICLE-1 NAME OF THE FOUNDATION:

THE ILKE IS THE SCIENCE CULTURE EDUCATION FOUNDATION.

 

 

ARTICLE-2 THE CENTER OF THE FOUNDATION

The foundation's headquarters are located in Istanbul.

 

 

ARTICLE-3 THE PURPOSE OF THE FOUNDATION

The purpose of the Foundation is to carry out educational, research, publication, organization, charity and solidarity activities aimed at contributing to the understanding and living of the human values derived from Islam in the community.

 

ARTICLE-4 ACTIVITIES OF THE FOUNDATION

The activities of the foundation are as follows;

a.       To provide educational opportunities at all degrees to talented people who are committed to national and spiritual values with their existing or acquired assets in line with the purpose of the Foundation.

b.    To build and establish dormitories, libraries, research centers, institutes, non-formal and formal educational institutions and courses, as well as similar educational and cultural institutions, to support those who are established.

c.       To organize scientific and cultural meetings, to conduct and support research and projects.

d.      To make periodical and indefinite publications and to open publishing houses for this purpose.

e.       In order to increase the opportunities of the Foundation, to establish economic enterprises and companies in agricultural, industrial, commercial and other fields, to be a partner of the established ones and to operate them.

f.        To provide social and economic contributions to those in need and to be karz-ı hasendi.

g.      To perform other services in accordance with the purpose of the Foundation.

 

ARTICLE-5 ASSETS OF THE FOUNDATION

The assets of the foundation are 60.000,00-TL (Sixty Thousand Turkish Liras).

 

ARTICLE-6 INCOME OF THE FOUNDATION

The Foundation's revenues are:

a.       All kinds of in-kind, cash, securities and real estate donations, negotiable instruments, membership fees, rents and other income in accordance with the purpose of the Foundation.

b.      Donations such as zakat, fitrah, sacrifice and sacrificial skin.

c.  Income to be received from the assets of the foundation and the companies that the foundation will establish or participate in its establishment; income to be provided from economic enterprises, subsidiaries and partnerships; income to be provided by evaluating the securities and real estate, intellectual property and other assets and rights of the foundation.

d.      Funds that the Foundation will receive from other organizations within the scope of the projects that it will carry out.

e.       All kinds of contributions that members will provide to the foundation.

 

ARTICLE-7 FORM OF CONSUMPTION AND ADMINISTRATION OF THE FOUNDATION'S ASSETS

80% of the gross income of the foundation is spent for the purposes of the foundation; 20% is spent for the management and maintenance of the foundation.

 

ARTICLE-8 WORKS AND TRANSACTIONS THAT THE FOUNDATION CAN DO TO ACHIEVE ITS PURPOSE

Foundation;

a.       To sell the assets he owns, transfer and transfer, to receive and spend his income,

b.      Securities and real estate goods and money transferred to the ownership by donation, bequest, purchase and other means; to management and savings, to evaluate them in accordance with the purpose of the foundation,

c.       Foundations that are civil or public institutions at home and abroad that are engaged in similar activities to the goals of the Foundation, to cooperate with natural and legal persons, to receive assistance, to conclude agreements to provide this assistance,

d.    To accept non-proprietary rights in kind such as easement, usufruct, succession, parent, pledge and mortgage of real estate goods, to use these rights, to receive all kinds of guarantees including pledge and mortgage of securities and real estate goods for contracts to be established with existing or acquired income, to accept valid bank guarantees,

e.      To borrow when necessary, to give bail, pledge, mortgage and other guarantees, to participate in all kinds of auctions and auctions,

f.    To earn income from all kinds of works with the projects and contracts that he will make; to establish economic enterprises, companies, to participate in the established ones, to operate them directly or under his supervision in order to provide income to the Foundation,

g.   It is authorized and authorized to show its securities and real estate as collateral, to turn the properties that are in the state of participation into joint property, to carry out the necessary legal actions in this regard.

h.      The assets and revenues of the foundation are collected from banks, stock exchanges, funds, brokerage institutions that make interest-bearing transactions, etc. it cannot be evaluated in the media, it cannot be stored.

 

ARTICLE-9 PROVISIONS RELATED TO MEMBERS

Real and legal persons can be accepted as members of the foundation. Admission to membership, rights and obligations of members, withdrawal and expulsion from membership, etc. the issues are determined by the provisions of the regulation.

 

ARTICLE-10 BODIES OF THE FOUNDATION:

1.      The Central organs of the Foundation are;

a.       Board of Trustees

b.      board of directors

c.       Supervisory Board

 

2.      The Branch bodies of the Foundation are;

a.       board of directors

b.      Supervisory Board

 

ARTICLE-11 THE BOARD OF TRUSTEES OF THE FOUNDATION

a.       The Board of Trustees of the Foundation is the highest decision-making body of the foundation and is the committee formed by the persons whose names and surnames are written in the final of this foundation deed and the new members elected later by the trustee.

b.      Two names representing the ILKE Science Culture Education Association are placed on the Board of Trustees. The names to represent the association are determined by the association's board of directors.

c.       The Board of Trustees consists of at least 11 people. If the membership of the Board of Trustees becomes vacant due to death, resignation or any other reason, a new member can be admitted to the vacant memberships within a maximum of 6 months upon the proposal of 3 members of the Board of Trustees and the decision of 2/3 of the Board of Trustees.

d.      The Board of Trustees may elect new members to the Board of Trustees from among the people who it thinks will support and contribute to the foundation's activities, with the proposal of at least 3 members of the Board of Trustees and the Decrees of 2/3 of the Board of Trustees.

e.       The Board of Trustees may dismiss the members of the Board of Trustees from membership with the proposal of at least 5 members of the Board of Trustees and the decision of 3/4 of the Board of Trustees.

 

ARTICLE-12 DUTIES AND POWERS OF THE BOARD OF TRUSTEES

The powers of the Board of Trustees are shown below:

a.       To elect the Board of Directors

b.      To elect the Supervisory Board

c.       To discuss and examine the annual report prepared by the Board of Directors of the Foundation and the reports of the Supervisory Board and to decide on its release.

d.      To certify the organizations of the branches proposed by the Board of Directors or to terminate them if necessary.

e.       To audit all kinds of accounts with the foundation's budget.

f.        To arrange, amend and approve the regulations prepared by the Board of Directors to determine the procedures and principles related to the realization of the purpose of the Foundation and the fulfillment of the activities,

g.      To supervise and approve all kinds of favorable and beneficial actions made by the Board of Directors of the foundation on securities and immovables belonging to the foundation or to be transferred to the foundation.

h.      To make and approve amendments to the foundation deed if necessary.

i.        Engaging in activities detrimental to the foundation's work, being convicted of a disgraceful crime, etc. if justified grounds arise, to remove a member of the board of trustees or its members from the membership of the Board of Trustees.To examine and decide on the objections of the persons dismissed from membership by the Board of Directors,

j.        To examine and decide on other proposals to be submitted by the Board of Directors, to accept the annual budget drafts to be prepared by the Board of Directors in kind or by amending them.

k.      To decide on the termination or liquidation of the foundation,

l.        Legislation and business to perform other duties specified in this Official Deed.

 

ARTICLE-13 MEETING AND NEGOTIATION PROCEDURE OF THE BOARD OF TRUSTEES

a.      The Board of Trustees elects one member as the chairman for a period of four years at its first meeting following the registration of the foundation deed. The chairman of the Board of Trustees may be elected as the chairman for a maximum of three consecutive terms.

b.   The Chairman of the Board of Trustees and the Chairman of the Board of Directors are separate persons. If necessary, the Board of Trustees may decide by a vote of two-thirds (2/3) of the total number of members that the Chairman of the Board of Trustees should also be the same person as the Chairman of the Board of Directors.

c.       The Board of Trustees meets normally at least twice every year at December reasonable intervals.

d.      If a majority cannot be obtained for the meeting, the subsequent meeting shall be held within 15 (fifteen) days at the latest and no majority shall be sought at this meeting. However, if the agenda of the meeting includes making changes to the Foundation Deed, it is necessary that more than half of the total number of members be present at the meeting in order for the meeting to be held.

e.       The Board of Trustees may also convene on an extraordinary basis upon the need of the chairman of the Board of Trustees or if at least one third (1/3) of the members of the Board of Trustees make a request.

f.        The date, place, time and agenda of the meeting are notified to the members of the Board of Trustees by letter, e-mail or SMS at least 7 (seven) days before the meeting day.

g.      The Board of Trustees, with the exceptions specified in this deed, meets with more than half of the full number of noble members.

h.      The decision quorum of the Board of Trustees is more than half of the participating members. Each member has the right to one vote. Proxy voting cannot be used. If there is equality in the votes, the decision is taken by counting the votes of the party where the president is superior.

i.        The quorum for making changes, corrections or additions to the foundation deed, the number of decisions for the election of bodies is two-thirds of the total number of members (2/3).

 

ARTICLE-14 FOUNDATION BOARD OF DIRECTORS

The Board of Directors consists of 5 regular and 3 substitute members for a period of three years. The board of directors is elected for a term of 3 years. Members whose term has expired may be re-elected. A member may serve for a maximum of three consecutive terms. Dec. The chairman of the Board of Directors is elected from among the members of the Board of Trustees.Dec. Two of the noble members of the board of directors and one of the substitute members are elected from the members of the Board of Trustees; the remaining noble and substitute members are elected from among the names eligible to become members of the board of directors. ARTICLE-15 DUTIES AND AUTHORITIES OF THE BOARD OF DIRECTORS

The Board of Directors is the administrative and executive body of the foundation. In this capacity, the Board of Directors:

a. Makes and implements all decisions in line with the foundation's objectives.

b. Prepares the annual budget of the foundation, work reports, and the foundation's work programs, and implements the regulations.

c. Makes all necessary obligatory and dispositive transactions on movable or immovable properties belonging to the foundation or to be transferred to the foundation, in accordance with the donation and real estate regulations set by the Board of Trustees, on behalf of the foundation. It takes necessary actions with natural and legal persons in legal, financial, and other matters on behalf of the foundation's legal entity.

d. Represents and obligates the foundation before judicial and administrative authorities and against natural and legal persons. When necessary, this authority may be delegated to one of the members of the Board of Directors or to one or more foundation employees to be employed under this article. If needed, the authority to represent the foundation before judicial authorities may be delegated to a lawyer.

e. Carries out the necessary work for all kinds of legal and financial contracts on behalf of the foundation and the evaluation of the foundation's assets and obtaining new financial resources.

f. May employ paid or volunteer personnel, either permanently or temporarily, to carry out activities related to achieving the foundation's purpose. If necessary, it may terminate the employment contract.

g. Determines and sets the amounts and priority of aid and loans.

h. The travel and other expenses of those serving in the Board of Trustees, Board of Directors, and central and branch organizations for foundation-related activities are covered by the foundation’s budget.

i. Establishes and, if necessary, disbands working and advisory committees/groups such as commissions, councils, and assemblies.

j. Keeps the necessary books, files, and records in accordance with the regulations.

k. Ensures that the foundation's activities are carried out regularly and efficiently in line with the general service understanding determined by the Board of Trustees. It prepares the necessary regulations and submits them for the Board of Trustees' approval.

l. Submits the opening and closing of branches and representative offices, both domestically and internationally, for approval by the Board of Trustees, and takes the necessary actions in this regard.

m. Monitors and controls the foundation’s accounting activities, ensures the preparation and submission of income-expense statements and balance sheets to the relevant authorities at the end of the accounting period, and arranges their publication when necessary.

n. Carries out the purchase, sale, mortgaging, and similar transactions of the foundation's real estate, in accordance with the provisions of this foundation deed and the decisions of the competent bodies. It performs all necessary transactions with public institutions, judicial and administrative authorities, land registry offices, execution offices, notaries, and other agencies to achieve the foundation’s goals and carry out its activities. These powers can be delegated to the chairman of the Board of Directors or to appointed members.

o. Implements the budget approved by the Board of Trustees.

p. Undertakes the preparation processes for Board of Trustees meetings.

q. Presents the annual foundation activity report for approval at Board of Trustees meetings.

r. Performs other duties required by relevant legislation, the foundation's deed, and the internal regulations.

 

ARTICLE-16 PROCEDURE FOR BOARD MEETINGS AND DISCUSSIONS

a. The Board of Directors shall meet within two weeks after their election and allocate duties among themselves.

b. The Board of Directors shall meet at least once a month. Additionally, it will meet on days determined by the chairman or upon the request of more than half of the members, or as per the decision taken by the principle. The Board of Directors shall meet with more than half of the full members present.

c. The quorum for decisions is more than half of the members present at the meeting. In case of a tie in votes, the vote of the chairman’s side will be considered as the winning side. The decisions made will be written and signed in the notarized decision book. In the absence of the chairman, the vice-chairman presides over the Board of Directors.

d. If a member of the Board of Directors resigns or is removed before their term ends, one of the alternate members will be called to take their place.

 

ARTICLE-17 REPRESENTATION OF THE FOUNDATION

The foundation is represented by the Board of Directors. The Board of Directors may delegate this representation authority to the Chairman of the Board.

 

ARTICLE-18 DUTIES AND AUTHORITIES OF THE CHAIRMAN OF THE BOARD OF DIRECTORS

a. The Chairman presides over the Foundation’s Board of Directors.

b. The Chairman ensures that the decisions of the Board of Trustees and Board of Directors are implemented.

c. The Chairman collects the amounts of sales, mortgages, and funds in execution.

d. The Chairman may delegate these powers to one of the Board members or other persons deemed appropriate.

 

ARTICLE-19 AUDIT COMMITTEE

a. The Audit Committee is an organ established to audit the activities and accounts of the foundation on behalf of the Board of Trustees. The Audit Committee consists of three full members and three alternate members, who are elected by the Board of Trustees for three years, either from its members or externally. In the event of resignation, an alternate member will replace the full member.

b. The activities and accounts of the branches are also audited by the Audit Committee. Branch audit committees may be established according to the procedure outlined in the first paragraph. Branch audit committees operate under the central Audit Committee of the foundation.

c. The Audit Committee conducts all its reviews on books, records, and documents. The report to be prepared at the end of the accounting period will be given to the Chairman of the Board of Trustees for submission to the Board of Trustees at least 15 days before the meeting.

 

ARTICLE-20 BRANCHES AND REPRESENTATIVE OFFICES

The foundation may establish branches and representative offices in other provinces, districts, and abroad in accordance with its purpose. Branches and representative offices are affiliated organs of the foundation’s central organization and may not pursue any other service goal outside the foundation’s purpose. The assets of the branches and representative offices are considered the foundation’s assets. The operational methods and principles of branches and representative offices are determined by regulations.

 

ARTICLE-21 DISSOLUTION AND TERMINATION OF THE FOUNDATION

If the foundation's purpose becomes impossible to achieve or if any circumstances lead to termination, the Board of Trustees shall be immediately convened according to Article 13 of this deed. The status of the foundation is discussed, and a decision to dissolve or continue with measures is made. A majority of 4/5 of the full votes in the Board of Trustees is required for the dissolution decision.

If dissolution is decided, any remaining property and rights after the settlement of debts will be transferred to a foundation or institution with similar goals as determined by the Board of Trustees. If the Board does not determine this, the property will be transferred to the Tevhid Foundation, which is closest to the foundation’s goals and objectives.

 

ARTICLE-22 FOUNDER OF THE FOUNDATION

The founder of the foundation is the ILKE SCIENCE CULTURE EDUCATION ASSOCIATION.

 

TRANSITIONAL PROVISIONS:

Transitional Article-1

The initial Temporary Board of Directors of the foundation consists of the following members:

1.     Davut Şanver

2.     Lütfi Sunar

3.     Nihat Erdoğmuş

4.     Süleyman Güder

5.     Yusuf Alpaydın

The Temporary Board of Directors is responsible for calling the Board of Trustees for a meeting within one month from the date of the foundation's registration, and during this period, it holds the powers and responsibilities specified in the deed.

Transitional Article-2

Lütfi Sunar is authorized to carry out all necessary procedures for the registration of the foundation.
